1. Introduction
These Terms & Conditions apply to the EDM Solutions Product Catalogue and quotation-based shop. By browsing the catalogue, submitting a quote request, requesting assistance, or communicating with EDM Solutions regarding products or services, the customer agrees that these terms apply unless replaced by a signed agreement or formal quotation terms issued by EDM Solutions.
The catalogue is intended for product information, quotation requests, project enquiries and customer support relating to smart metering products, prepaid water meters, prepaid electricity meters, meter accessories, vending and billing services, installation services, configuration, commissioning and related utility management solutions.
2. Quotation-Based Catalogue
The EDM Solutions Product Catalogue is not a normal instant checkout store. Products and services are supplied mainly through a quotation process.
Any price displayed on the catalogue may be indicative only and may change depending on stock availability, supplier pricing, quantity, configuration requirements, delivery location, installation scope, commissioning, vending setup, meter registration, site conditions and project requirements.
A quote request submitted through the catalogue does not create a confirmed order. A confirmed order only exists once EDM Solutions issues a formal quotation and the customer accepts that quotation according to the payment and approval terms stated on the quotation.
3. Product Information
EDM Solutions makes reasonable efforts to keep product information, images, descriptions, specifications and pricing accurate. However, product details may change due to supplier updates, stock changes, technical upgrades, model changes or availability.
Images shown on the catalogue are for illustration and identification purposes. Actual products may differ slightly in appearance, packaging, branding, accessories or configuration depending on supplier availability and the approved quotation.
Customers must confirm all important technical requirements before accepting a quotation, including meter type, communication method, vending compatibility, pipe size, phase type, installation requirements, keypad requirements, registration requirements and any integration requirements.
4. Product Suitability
The customer is responsible for providing accurate information about the intended use, property, site, meter environment, installation conditions and project requirements.
EDM Solutions may advise on product suitability based on the information provided, but final suitability depends on accurate site information, technical compatibility, municipal requirements, installation conditions and supplier specifications.
Where uncertainty exists, EDM Solutions may recommend a site inspection, additional technical assessment, installation review or alternative product before confirming the final quotation.
5. Orders and Acceptance
A quote request, email enquiry, WhatsApp message, phone call or catalogue submission is not an approved order on its own.
An order is only accepted when EDM Solutions has issued a formal quotation, the customer has accepted the quotation, any required deposit or full payment has been received, and stock, configuration and installation requirements have been confirmed by EDM Solutions.
EDM Solutions reserves the right to decline, revise or cancel a quotation where product availability, supplier pricing, technical compatibility, customer information or project requirements change before final approval.
6. Pricing and Payment
All pricing is subject to confirmation by EDM Solutions. Unless clearly stated otherwise, prices may exclude delivery, installation, configuration, commissioning, meter registration, vending setup, support services, plumbing work, electrical work, civil work, travel and any additional site-specific work.
Payment terms will be confirmed on the formal quotation or invoice. EDM Solutions may require full payment before delivery, installation, configuration, commissioning or product release.
Where a deposit is accepted, the balance must be paid according to the quotation or invoice terms. EDM Solutions may delay delivery, installation, commissioning or handover until required payment has been received and cleared.
7. VAT and Taxes
Where applicable, prices may include or exclude VAT as stated on the quotation or invoice. The customer must rely on the formal quotation and invoice for final tax treatment and not only on catalogue display pricing.
8. Stock Availability and Lead Times
Stock availability is not guaranteed until the order is confirmed. Products may be subject to supplier availability, import lead times, courier delays, configuration requirements, batch availability and project scheduling.
Any delivery or installation date provided before final confirmation is an estimate only. EDM Solutions will make reasonable efforts to meet agreed timelines but will not be responsible for delays caused by suppliers, couriers, incomplete customer information, site readiness issues, weather, access restrictions, payment delays or events outside its control.
9. Delivery
Delivery arrangements, courier costs and delivery timelines will be confirmed during the quotation process. Delivery may be charged separately unless clearly included in the formal quotation.
Risk in the product may pass to the customer once the product is delivered, collected, handed to a courier, installed or otherwise transferred according to the quotation arrangement.
Customers must inspect delivered goods as soon as possible and notify EDM Solutions promptly of any visible damage, missing items or delivery issues.
10. Installation, Configuration and Commissioning
Installation, configuration and commissioning services are only included where clearly stated in the formal quotation.
The customer is responsible for ensuring safe and reasonable access to the site, correct site information, availability of responsible representatives and site readiness before installation.
Site readiness may include access to the installation area, suitable plumbing or electrical conditions, isolation points, correct pipework or electrical infrastructure, compliance with safety requirements and any other preparation needed for the work.
If the site is not ready, inaccessible, unsafe, incorrectly described or materially different from the information provided, EDM Solutions may charge additional fees for return visits, extra labour, materials, delays or revised scope.
11. Plumbing and Electrical Responsibility
Unless specifically included in the quotation, general plumbing, electrical upgrades, civil works, repairs, rerouting, compliance work, fault finding, municipal infrastructure issues and third-party work are not included.
Where EDM Solutions performs installation work, such work will be limited to the agreed scope. The customer remains responsible for ensuring that the property infrastructure is safe, compliant and suitable for the intended installation.
12. Vending, Registration and System Setup
Some prepaid or smart metering products may require vending setup, meter registration, system configuration, customer onboarding, tariff setup, meter linking or third-party integration.
These services may be quoted separately unless clearly included. EDM Solutions will not be responsible for delays caused by incomplete customer information, missing meter details, third-party vending providers, supplier portals, municipal requirements or external system approval processes.
13. Customer Information
The customer must provide accurate and complete information when submitting a quote request, including name, contact details, property details, product requirements, quantities, meter details, installation requirements and any special project notes.
EDM Solutions will not be responsible for errors, delays, incorrect quotations, unsuitable products or failed processing caused by incorrect or incomplete information supplied by the customer.
14. Returns and Refunds
Returns and refunds are handled according to the EDM Solutions Returns Policy and Refund Policy.
Configured meters, installed products, commissioned devices, vending-linked meters, registered meters, special-order products, used items, damaged items, opened products or products supplied according to customer-specific requirements may not qualify for standard return or refund unless required by law or approved by EDM Solutions after assessment.
15. Warranty
Warranty terms are handled according to the EDM Solutions Warranty Policy and any supplier or manufacturer warranty applicable to the product.
Warranty does not usually cover misuse, tampering, incorrect installation by third parties, physical damage, water damage outside product specification, electrical surge, incorrect application, unauthorised repairs, negligence, vandalism, normal wear and tear or site infrastructure faults.
16. Customer Support
EDM Solutions may provide support through email, phone, WhatsApp, ticketing systems or other approved support channels.
Support is provided during business hours unless otherwise agreed. Support outside normal scope, remote assistance, callouts, site visits, technical investigations or additional configuration may be charged separately.
17. Limitation of Liability
To the extent allowed by law, EDM Solutions will not be liable for indirect losses, loss of profit, loss of income, loss of business, loss of data, delays, third-party service failures, municipal issues, supplier delays, courier delays, property infrastructure faults, or losses caused by incorrect information supplied by the customer.
EDM Solutions’ liability, where legally applicable, will be limited to the value of the product or service directly related to the claim.
18. Third-Party Suppliers and Services
Some products, vending services, payment channels, courier services, software services or integrations may involve third-party providers. EDM Solutions is not responsible for third-party delays, outages, rule changes, charges, approval delays, system limitations or failures outside EDM Solutions’ direct control.
19. Website Use
Customers may not misuse the catalogue, attempt unauthorised access, interfere with the website, submit false information, copy content unlawfully, or use the site for fraudulent or harmful purposes.
EDM Solutions may update, suspend or change the catalogue, product listings, pricing, pages, features or services at any time.
20. Personal Information
Personal information submitted through the catalogue is handled according to the EDM Solutions Privacy Policy and applicable South African data protection requirements, including POPIA where applicable.
21. Changes to These Terms
EDM Solutions may update these Terms & Conditions from time to time. The latest version published on the catalogue will apply to future quote requests and catalogue use.
